These Terms of Use (“Terms”) are a contract between you and [to be confirmed], a company organized under the laws of [to be confirmed], with registered office at [to be confirmed] (“Tyllia,” “we,” “us,” or “our”). They govern access to and use of Tyllia's websites, mobile applications, and related tools, assessments, content, and services (collectively, the “Services”).
By accessing or using the Services (including creating an account, downloading our app, or clicking “I agree”), you agree to these Terms. If you do not agree, do not use the Services.
1. Changes to These Terms
We may update these Terms from time to time. When we do, we'll update the “Last updated” date and, when required, notify you (e.g., in-app notice or email). Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
2. Who Can Use Tyllia (Eligibility)
- You must be 18+ (or the age of legal majority in your jurisdiction) to use the Services.
- You may not use the Services if you have been previously suspended or removed by Tyllia.
- If you access the Services on behalf of another person or entity, you represent that you have authority to bind that person or entity to these Terms.
3. Your Account
- You may browse publicly available content without an account. Some features require registration.
- You agree to provide accurate, current information, keep your credentials secure, and be responsible for all activity that occurs under your account.
- Do not share your login details. We may suspend accounts suspected of unauthorized use.
4. What Tyllia Is (and Isn't)
Wellbeing tools, not medical care. Tyllia provides self-guided tools, educational content, assessments, coach/circle options, and connection planning focused on loneliness, trauma-informed practices, and personal growth. Tyllia is not a healthcare provider and the Services do not provide medical advice, diagnosis, or treatment. Always seek the advice of a qualified professional with questions about a condition. In an emergency, see Section 5.
As we grow, Tyllia may offer access to licensed professionals or third-party providers. Any professional services accessed through Tyllia are delivered by those providers, not by Tyllia. Tyllia is not responsible for the practice of medicine or other regulated health professions.
5. Crisis & Safety Notice
The Services are not for emergencies. If you are in crisis, at risk of harm, or considering self-harm, do not use Tyllia. Call your local emergency number or crisis line immediately. Examples include:
- US/Canada: 988 (Suicide & Crisis Lifeline)
- UK & ROI: Samaritans 116 123
- AU: Lifeline 13 11 14
Use local numbers where available.
6. App Stores & Third-Party Terms
If you download the app from Apple App Store or Google Play, your use is also governed by their terms (including billing and refunds specific to the store). Where there's a conflict about platform-specific matters, the app store terms control; otherwise, these Terms govern your use of our Services and content.
7. License & Acceptable Use
7.1 License
Subject to these Terms, Tyllia grants you a personal, limited, revocable, non-transferable, non-exclusive license to access and use the Services for your own non-commercial purposes.
7.2 Acceptable Use (Examples)
You agree not to:
- copy, modify, distribute, publicly perform, or create derivative works from the Services or content (except as allowed by law or expressly permitted);
- reverse engineer or attempt to extract source code;
- use the Services to harass, abuse, threaten, or post content that is unlawful, defamatory, hateful, exploitative, or that could cause psychological harm to others;
- upload malware, attempt to gain unauthorized access, or interfere with security or operation of the Services;
- use automated means (bots, scrapers) without our prior written consent;
- use the Services to provide competing or commercial services without our written consent.
We may remove content, suspend, or terminate accounts that violate these Terms or our Community Guidelines (if published).
8. Community & Content
- Some features may allow comments, check-ins, reflections, or group participation. You are responsible for what you share.
- Do not post identifiable information about others without permission.
- We may monitor or moderate to maintain safety but are not obligated to do so.
- You retain rights in your content, but by posting it on the Services you grant Tyllia a worldwide, royalty-free, non-exclusive license to use, host, store, reproduce, modify, and display it for operating and improving the Services, in accordance with our Privacy Policy.
9. AI & Guidance Disclaimers
Tyllia may use algorithmic or AI-assisted features to help you discover content, prompts, or plans. These features are for guidance and education only, not clinical assessment or medical advice. AI outputs can be incomplete or imprecise; use your judgment and consult professionals when needed.
10. Subscriptions, Trials & Billing
Some features are paid (e.g., Blue/Silver/Gold tiers, add-on sessions). We'll disclose pricing, terms, and renewal details at purchase.
- Auto-Renewal: Subscriptions renew automatically until canceled.
- Managing Subscriptions: If purchased through an app store, manage or cancel via that store's settings.
- Trials/Promos: At trial end, you may be charged unless you cancel before renewal.
- Refunds: Refunds for app-store purchases follow the store's policies. For direct purchases from Tyllia, reach out via our contact page; eligibility varies by jurisdiction and applicable law.
11. Third-Party Services & Links
The Services may link to third-party websites, apps, or providers (e.g., coaches, therapists, health integrations). Tyllia is not responsible for third-party content or services. Your use of third-party services is governed by their terms and privacy policies.
12. Intellectual Property
The Services, including all software, features, branding, and content provided by Tyllia, are protected by intellectual property laws. Except for your limited use rights, we reserve all rights. All trademarks, logos, and service marks are owned by Tyllia or our licensors.
If you submit ideas, feedback, or suggestions, you grant Tyllia a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.
13. Privacy
Your use of the Services is governed by our Privacy Policy. It explains how we collect, use, disclose, and protect your information, and your choices. By using the Services, you consent to the practices described there.
14. Research, Aggregation & De-Identification
We may use de-identified and/or aggregated data to improve the Services, generate insights, and contribute to research on loneliness and mental health. Such data cannot reasonably identify you.
15. Disclaimers
The Services are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that information is accurate, complete, or current.
16. Limitation of Liability
To the maximum extent permitted by law, Tyllia and its affiliates, officers, employees, licensors, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of (or inability to use) the Services.
To the extent any liability exists that cannot be disclaimed, our total aggregate liability to you for all claims relating to the Services shall not exceed the greater of (a) the amounts you paid to Tyllia in the 12 months prior to the event giving rise to the claim; or (b) USD $50 (or equivalent), unless a higher cap is required by mandatory law.
Some jurisdictions do not allow certain disclaimers/limitations; in those cases, only the limitations permitted by law will apply.
17. Indemnity
You agree to indemnify and hold harmless Tyllia and its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your: (a) use of the Services; (b) violation of these Terms; or (c) violation of another party's rights.
18. Suspension & Termination
We may suspend or terminate your access (with or without notice) if we believe you violated these Terms, pose a risk to others, or for operational/security reasons. You may stop using the Services at any time; to cancel paid subscriptions, follow Section 10.
Upon termination, the license in Section 7 ends. Sections that by their nature should survive (e.g., 12–19) will survive termination.
19. Governing Law & Disputes
These Terms are governed by the laws of [to be confirmed], without regard to conflict-of-laws rules. Venue: Courts located in [to be confirmed] shall have exclusive jurisdiction, unless another forum is required by mandatory law. If you access the Services from another country, you are responsible for compliance with local laws.
[Arbitration / class-action waiver clause to be confirmed]
20. Miscellaneous
- Entire Agreement: These Terms (plus any applicable addenda, Community Guidelines, and Privacy Policy) are the entire agreement between you and Tyllia.
- Severability: If any part of these Terms is found unenforceable, the rest remains in effect.
- No Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment: You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition, or sale of assets.
